Central Dauphin Rams Club, Inc. Central Dauphin High School Football Article I: Name The name of the Organization is the Central Dauphin Rams Club, Inc. It is registered as a non-profit corporation with the Pennsylvania Department of State Corporation Bureau. Article II: Purpose The primary purpose of the organization is to aid and support the advancement of the Central Dauphin High School football program. Article III: Basic Policies Section 1: The following are basic policies of this organization: The organization will be non-sectarian, non-partisan, and non-profit. The name of the organization and the names of any members in their official capacities will not be used in any connection with any purpose not related to the promotion of the purposes of the organization. The organization will not, directly or indirectly, participate or intervene in any way (including the publishing or distribution of statements) in any political campaign for public office or contractual, administrative or disciplinary issues involving school personnel or students. Article IV: Members Any individual interested in the welfare of the Central Dauphin High School football program may become a voting member by paying the annual dues. Article V: Officers Section 1: There shall be a President, Vice-President, Treasurer, Secretary and Advisor. The five officers serve as the Executive Committee and have the authority to meet and conduct business as necessary between regular membership meetings. Section 2: The Executive Committee will serve as the nominating committee. The nominating committee will present a slate of officers following the end of the football season in January. The slate of officers will be announced in a newsletter and the election will be held at the next membership meeting in February. The President will take additional nominations any time after the newsletter notification or from the floor at the membership meeting. Officers will begin their duties immediately after the end of the meeting at which they are elected. Article VI: Duties of the Officers Section 1: President Presides over the meetings of the membership and Executive Committee. Coordinates the work of the officers and the committees. Appoints the committee chairpersons. Appoints the auditor. Section 2: Vice President Acts as an aide to the President. Performs the duties of the President in the absence or disability of the President. Section 3: Secretary Records the minutes of all Executive Committee and Membership meetings. Performs the correspondence duties. Arranges meeting space. Section 4: Treasurer Manages the accounts on behalf of the organization. Keeps full and accurate accounts of all receipts and expenditures. Makes disbursements as directed by the organization or the majority of the officers in accordance with the budget. Presents a financial statement at each meeting of the organization and as requested by the officers. Presents a financial report to the membership each meeting. Section 5: Advisor. Serves in an advisory capacity. Article VII: Standing Committees Section 1: Standing Committees Standing Committees may include, but are not limited to the following: Alumni, Banquet, Concession Stand, Golf Tournament, Membership, Newsletter, Phone, Poster Sales, 50/50 Raffle, Roster, Senior Recognition, Scholarship and Spirit. Committees are responsible for presenting a final financial report to the Executive Committee within 60 days after the conclusion of any fund-raiser. The financial report will show a full accounting of the receipts and expenditures to be used by the Executive Committee in determining the current financial status in relationship to the current budget, and to assist with the development of future budgets. Section 2: Alumni/Scholarship Committee The Rams Club Alumni is a standing committee with the purpose of providing scholarships to deserving seniors. Football players, student team personnel and cheerleaders are eligible for scholarships; however, in keeping with the purpose of the organization, the majority of the scholarships shall be awarded to football players. The scholarship committee, in consultation with the Executive Committee, will decide the number of scholarships awarded each year. Article VIII: Budget The proposed budget will be prepared by the Executive Committee and presented at the March Membership meeting. The Executive Committee will receive comments and the final budget will be approved at the April meeting. Article IX: Audit An annual audit will be conducted at the end of the annual term of the Treasurer and will be completed prior to the approval of the budget. Article X: Liability In accordance with the Directors’ Liability Act, 42 Pa. C.S.A. and 8361, et seq., enacted by the Pennsylvania Legislature applicable to non-profit organizations, the members of the Executive Committee and their delegated representatives shall not be personally liable for any monetary damages for any action taken or any failure to take action unless: 1. The member has breached or failed to perform the duties of his/her office as set forth in 42 Pa. C.S.A. and 8361; and 2. The breach or failure to perform constitutes self-dealing, willful misconduct or recklessness. The provisions of this section shall not apply to the following: Responsibility or liability of a member pursuant to any criminal statues; or Liability of a member for the payment of taxes pursuant to local, state or federal law. Article XI: Meetings Regular membership meetings are to be held as set forth by the Executive Committee. A quorum at the meetings shall be a majority of the members present at the meeting. Meetings may be canceled or postponed by the President and/or Executive Committee. Article XII: Dissolution If at any time the membership falls to a level that can no longer function for the purposes shown in Article II, the club will be dissolved by a majority of the remaining members. Upon dissolution, the assets of the club shall be distributed to the school principal of the Central Dauphin High School to be used for the benefit of the football program. Article XIII: Parliamentary Authority Meetings will be conducted using Robert’s Rules of Order, Newly Revised. Article XIV: Amendments These By-Laws may be amended at regular meetings of the organization by two-thirds (2/3) vote of the members present and voting, provided that notice of the proposed amendment is given at the prior meeting and announced to the membership a minimum of 10 days before the meeting date. ______________________________________ PREVIOUS BY-LAWS WITH REDLINE Central Dauphin Rams Club, Inc.
